Is your SaaS ready to sell?
Fourteen questions, five minutes. Your score, your deal killers and the three gaps to fix first.

Selling a SaaS company in Belgium is decided long before the first buyer meeting. A strategic acquirer and a private equity fund do not buy for the same reasons, and do not value a company the same way. The strategic buyer pays for what your product, customers or team add to its own business, and looks first at strategic fit, technology and integration risk. The fund buys a cash flow it can finance, grow and sell again, and looks first at EBITDA, revenue retention, the Rule of 40 and whether the company runs without its founder. Both will check code ownership, open source licences and key contracts, and each gap they find becomes a price cut. In 2025, 49 percent of Belgian deals closed below the initial offer, against 27 percent ten years earlier (Vlerick M&A Monitor 2026).
This SaaS exit readiness scorecard takes you through the 14 points that move a valuation most, whichever type of buyer sits across the table, in about five minutes. Answer for the last 12 months. You get your score out of 28, the deal killers a buyer could walk away on, and the three gaps to fix first, each with a concrete next step. It is built by dups from the sale and acquisition processes we run for Belgian entrepreneurs, and it covers the new Belgian capital gains tax on shares.
